2. Formation and Changes to these Terms

2.1 These Terms bind HE Comply and the Customer from the Commencement Date.

2.2 The person who registers the Account or accepts an invitation warrants that they are authorised to bind the Customer to these Terms.

2.3 If there is any inconsistency between documents, the following order of precedence applies:

(a) the DPA, in relation to the processing of Personal Data;

(b) an Order Form, to the extent it expressly varies these Terms; and

(c) these Terms.

2.4 HE Comply may amend these Terms or the DPA by publishing updated versions on the Website. HE Comply will give the Customer at least 30 days' written notice of any material amendment. If the Customer does not agree to a material amendment, it may terminate these Terms by written notice before the amendment takes effect, and HE Comply will refund any prepaid Fees for the unused part of the current Subscription Period. Continued use of the Platform after a material amendment takes effect is acceptance of it. Changes to Fees are governed by clause 6.6.

2.5 For Customers that accepted the HE Comply Platform Terms of Use (version 1.3) or the Agent Terms for use of the Platform, these Terms replace those terms 30 days after HE Comply notifies the Customer of these Terms.

3. Eligibility

3.1 The Platform is available only to universities, colleges, other education providers, and education recruitment agencies, acting in the course of their business. It is not available to consumers or students.

3.2 HE Comply may verify the eligibility of any Customer and may refuse or revoke access where a Customer does not qualify or where an Account appears to have been created for an improper purpose.

3.3 The Customer must, throughout the Term, be a legitimate, operating business and maintain any registrations or approvals required in its jurisdiction.

4. Accounts, Users, and Security

4.1 Each Customer may hold one Account. Where the Customer's Plan allows, the Account may cover multiple entities or regional subgroups of the Customer.

4.2 The Customer must ensure that its registration information is accurate, current, and complete, and must promptly update it if it changes.

4.3 The Account operates with the user roles made available in the Platform, such as Super-Admin, Admin User, User, and counsellor roles. The Customer must always have one Super-Admin and must ensure that roles are appropriate and that access is revoked promptly when an Authorised User's authority ends.

4.4 Authorised Users must sign in with an email address on the Customer's own domain unless HE Comply agrees otherwise.

4.5 The Customer is responsible for the security of its Account credentials. Authorised Users must not share credentials or permit access by unauthorised persons. The Customer must notify HE Comply at support@hecomply.com immediately if it suspects unauthorised access to its Account.

4.6 The Customer is responsible for all activity in its Account and for the acts and omissions of its Authorised Users.

5. Plans, Free Access, and Subscriptions

5.1 The Plans available, and their features, usage limits, and Subscription Fees, are set out on the Website or, for a By-Agreement Plan, in the Order Form.

5.2 The Subscription Periods available for each Plan are shown on the Website. Monthly billing is available only where the Website shows it for that Plan.

5.3 A Customer invited to co-manage a Contract may accept the invitation and use the Platform for that Contract without charge. HE Comply may offer other features without charge, subject to limits communicated in the Platform. HE Comply may change Free Access features or limits by notice in the Platform or by email.

5.4 Additional Authorised User seats are available at the rates shown on the Website or in an Order Form.

5.5 A By-Agreement Plan may include bespoke features, volumes, integrations, white-labelling, and support arrangements, as set out in the Order Form.

5.6 A paid Plan starts when the Customer activates it and continues for the Subscription Period. It renews automatically for successive periods of the same length unless either party gives notice of non-renewal before the end of the current Subscription Period.

5.7 For annual Plans, HE Comply will notify the Customer at least 30 days before each renewal.

5.8 An upgrade to a higher Plan takes effect immediately and is charged pro rata for the rest of the current Subscription Period. A downgrade takes effect at the start of the next Subscription Period.

6. Billing and Payment

6.1 Subscription Fees for self-serve Plans are processed by Stripe. By providing payment details, the Customer authorises HE Comply to charge the applicable Fees to its nominated payment method at the start of each Subscription Period.

6.2 All Fees are:

(a) payable in advance at the start of each Subscription Period, unless an Order Form says otherwise;

(b) charged in the currency shown at the time of purchase or in the Order Form;

(c) exclusive of GST and other applicable taxes, which are charged in addition where applicable; and

(d) non-refundable, except as these Terms provide or as the Australian Consumer Law or other mandatory law requires.

6.3 Invoices for By-Agreement Plans are payable within 30 days of the invoice date unless the Order Form says otherwise.

6.4 If any Fees are unpaid 30 days after their due date, HE Comply may, after giving written notice, suspend the Customer's access to the paid features of the Platform until payment is received, or terminate these Terms under clause 18.

6.5 Interest accrues on overdue amounts at an annual rate of 2% above the Reserve Bank of Australia cash rate, compounded daily, from the due date until payment in full, together with reasonable debt recovery costs.

6.6 HE Comply may change Subscription Fees by giving at least 30 days' written notice. A change takes effect from the start of the next Subscription Period after the notice period ends. If the Customer does not accept the change, it may give notice of non-renewal before the change takes effect.

6.7 The Customer may need to accept Stripe's terms of service. Stripe's processing of payment card data is governed by Stripe's own terms and privacy policy.

7. Contract Management and AI-Assisted Reading

7.1 The Platform enables the Customer to upload, import, store, manage, and track Contracts, including recording commission terms, tracking expiry dates, receiving renewal reminders, and using audit logs, analytics, and reporting.

7.2 The Customer retains all rights, title, and interest in the Contracts and other data it uploads to the Platform. The Customer grants HE Comply a limited, non-exclusive, royalty-free licence to host, process, and display that data solely to provide the Services during the Term.

7.3 The Customer warrants that:

(a) it has full authority to upload each Contract and any other data it uploads or imports;

(b) no data it uploads or imports infringes any third party's intellectual property or other rights;

(c) no data it uploads or imports contains unlawful, defamatory, or misleading content; and

(d) it has a valid legal basis under applicable data protection Laws to upload and share any Personal Data contained in that data.

7.4 AI-Assisted Reading is optional and is selected by the Customer for each upload. The Customer acknowledges that:

(a) AI-Assisted Reading is carried out using Amazon Bedrock, as described in the DPA;

(b) extracted data may be incomplete or inaccurate, and the Customer must review it before relying on it;

(c) AI-Assisted Reading is not legal advice; and

(d) HE Comply does not use identified Contracts or Personal Data to train artificial intelligence models. HE Comply's use of anonymised data is governed by clause 3.2 of the DPA.

7.5 Where the Customer imports data from a third-party system or by file upload, the Customer warrants that it has the right to import that data, and HE Comply is not responsible for the accuracy, completeness, or lawfulness of imported data.

7.6 Where Customer data is stored and processed is set out in clause 13 of the DPA.

7.7 On termination of these Terms, HE Comply will return or delete the Customer's data as set out in clause 11 of the DPA.

8. Co-Management, Invitations, and Sub-agents

8.1 A Customer may invite another institution or agency to co-manage a Contract. The Customer that shares a Contract controls the scope of visibility it grants.

8.2 By issuing or accepting an invitation, the Customer acknowledges that the relevant Contract data will be shared with the other party through the Platform.

8.3 The Customer is responsible for ensuring that it has the authority and any consents needed to share Contract data through the Platform, and that sharing is consistent with applicable Laws and any confidentiality obligations it owes to third parties.

8.4 A party that accepts an invitation must accept these Terms and becomes a Customer, with Free Access unless it takes a paid Plan.

8.5 HE Comply does not control how another Customer uses Contract data shared with it through Co-Management, and has no liability for that use beyond HE Comply's obligations under the DPA.

8.6 Where the Agency's Plan allows, an Agency may record Sub-agents and partner agencies in the Platform and give them access to it. The Agency is responsible for:

(a) having the right to record each Sub-agent's information;

(b) the access it grants to Sub-agents and their use of the Platform; and

(c) ensuring that Sub-agents with access comply with these Terms.

9. eSigning

9.1 The Platform includes an eSigning feature provided through DocuSign. The Customer initiates and controls all eSigning Envelopes it sends.

9.2 The Customer is responsible for:

(a) ensuring that all signatories have the capacity and authority to sign and have been properly identified before an eSigning Envelope is sent;

(b) ensuring that documents sent for signature are accurate, complete, and capable of being signed electronically under applicable Laws;

(c) obtaining any consent from signatories that applicable Laws require for electronic signatures; and

(d) keeping its own records of executed eSigning Envelopes, independent of the Platform.

9.3 Electronic signatures are generally recognised as valid in Australia, the European Union, the United Kingdom, and the United States, subject to exceptions. Enforceability may depend on the type of document, the signatory's authority, and the Laws of each party's jurisdiction. The Customer is responsible for confirming that eSigning is appropriate for its documents, and HE Comply does not warrant that any eSigning Envelope will be enforceable in every jurisdiction.

9.4 DocuSign processes Personal Data in eSigning Envelopes as a subprocessor under the DPA.

9.5 HE Comply may suspend or modify the eSigning feature where DocuSign's terms require it, for technical or security reasons, or because of circumstances beyond HE Comply's control. HE Comply will give reasonable prior notice where practicable.

9.6 HE Comply is not a party to any Contract signed through the eSigning feature.

10. CRM API and Integrations

10.1 Where the Customer's Plan or an Order Form includes the CRM API, HE Comply grants the Customer access to it in accordance with HE Comply's API documentation. Any setup fee is as shown on the Website or in the Order Form.

10.2 The Customer must keep its API credentials confidential, use the CRM API only to connect its own systems, and comply with HE Comply's API documentation and usage limits.

10.3 Once data is retrieved through the CRM API into the Customer's systems, the Customer is responsible for it. HE Comply's obligations under the DPA do not extend to data held in the Customer's systems.

10.4 HE Comply may change or suspend the CRM API for technical or security reasons, giving reasonable notice where practicable. Bespoke API terms in an Order Form prevail over this clause 10.

10.5 Third-party integrations that the Customer connects to the Platform are governed by the third party's terms. HE Comply is not responsible for third-party services.

11. Data Processing and Privacy

11.1 In using the Platform, the Customer (as controller) causes Personal Data to be processed by HE Comply (as processor). The DPA governs that processing and prevails over these Terms in relation to it.

11.2 The Customer warrants that:

(a) it has a valid legal basis under applicable data protection Laws for all Personal Data it uploads to or transmits through the Platform;

(b) it has given all notices to data subjects that applicable data protection Laws require; and

(c) it will comply with applicable data protection Laws in its use of the Platform.

11.3 HE Comply's handling of personal information about Authorised Users and Account contacts, for purposes such as account administration, billing, communications, and product analytics, is governed by the Privacy Policy.

11.4 The Customer must notify HE Comply without undue delay on becoming aware of any actual or suspected unauthorised access to or disclosure of Personal Data processed through the Platform. The DPA sets out each party's obligations in relation to Personal Data breaches.

12. Agency Obligations

12.1 In addition to its other obligations under these Terms, each Agency must:

(a) comply with all Laws, industry standards, and codes of conduct that apply where it operates or recruits, including any agent codes of conduct that apply to the Institutions it represents;

(b) act honestly, ethically, and professionally in all dealings with HE Comply, Institutions, and students;

(c) represent only Institutions with which it holds a current written agreement, and comply with those agreements;

(d) obtain an Institution's written permission before using its name or logo in any advertising or marketing;

(e) not make false or misleading statements about HE Comply, any Institution, or any other user of the Platform; and

(f) ensure that all information it provides through the Platform is true and correct.

12.2 HE Comply is not a party to any agreement between an Agency and an Institution. Commission and other payments are solely a matter between them, and HE Comply does not guarantee that an Agency will obtain any business through the Platform.

13. Acceptable Use

13.1 The Customer must use the Platform only for its intended purpose as a contract management and compliance tool, and must not:

(a) use the Platform for any unlawful purpose or in breach of any Laws;

(b) upload, transmit, or store content that infringes third-party rights or is defamatory, obscene, or otherwise unlawful;

(c) attempt to gain unauthorised access to the Platform, any other Customer's Account, or any connected system;

(d) upload or transmit malicious code or other harmful content;

(e) reverse engineer, decompile, disassemble, or attempt to extract the source code of any part of the Platform;

(f) use the Platform to build a competing product or to benchmark the Platform for a competitor;

(g) resell, sublicense, or otherwise make the Platform available to third parties except as these Terms allow;

(h) publicly disseminate performance or benchmarking results relating to the Platform without HE Comply's prior written consent; or

(i) use the Platform in a way that adversely affects its availability, performance, or security for others.

13.2 HE Comply may monitor use of the Platform to the extent necessary to verify compliance with these Terms, prevent fraud, and maintain security.

14. Intellectual Property and Licence

14.1 HE Comply owns all Intellectual Property Rights in the Platform, including its software, interface, design, analytics tools, and documentation. Nothing in these Terms transfers ownership of those rights to the Customer.

14.2 Subject to the Customer's compliance with these Terms, HE Comply grants the Customer a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform during the Term for its internal business purposes.

14.3 The Customer grants HE Comply a limited, non-exclusive, royalty-free licence to use the Customer's name and logo solely to identify the Customer as a client of HE Comply in marketing materials. The Customer may withdraw this licence by written notice to support@hecomply.com, effective 21 days after receipt.

14.4 The Customer must promptly notify HE Comply if it becomes aware of any actual or suspected infringement of HE Comply's Intellectual Property Rights.

15. Confidentiality

15.1 Each party must keep confidential all non-public information of the other party received in connection with the Services or these Terms ("Confidential Information"), and must not use or disclose it without the other party's prior written consent, except:

(a) to the extent necessary to exercise its rights or perform its obligations under these Terms; or

(b) as required by Law, court order, or regulatory authority, in which case the disclosing party will, where permitted, give the other party reasonable prior notice.

15.2 Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party when disclosed, or is independently developed by the receiving party without reference to the Confidential Information.

15.3 The obligations in this clause 15 survive termination of these Terms for three years.

16. Warranties and Disclaimers

16.1 HE Comply warrants that it will provide the Services with reasonable care and skill, and that the Platform will perform materially in accordance with any documentation HE Comply makes available for it.

16.2 To the maximum extent permitted by Law, including the Australian Consumer Law:

(a) the Platform is provided on an "as is" and "as available" basis;

(b) HE Comply does not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities; and

(c) except as expressly set out in these Terms, all implied terms, conditions, guarantees, and warranties are excluded.

16.3 Nothing in these Terms excludes any guarantee, right, or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable Law.

17. Liability and Indemnity

17.1 To the maximum extent permitted by Law, HE Comply's aggregate liability to the Customer under or in connection with these Terms, whether in contract, tort, statute, or otherwise, is limited to the greater of A$100 and the total Fees paid by the Customer in the 12 months immediately before the event giving rise to the claim.

17.2 HE Comply is not liable to the Customer for any:

(a) loss of profits, revenue, or business opportunity;

(b) loss or corruption of data, except to the extent caused by HE Comply's negligence or wilful misconduct;

(c) loss of contract or anticipated savings;

(d) reputational damage; or

(e) indirect, special, incidental, or consequential loss,

whether or not HE Comply was advised of the possibility of that loss.

17.3 Nothing in these Terms limits HE Comply's liability for death or personal injury caused by its negligence, for fraud, or for any other liability that cannot lawfully be limited.

17.4 Where the Australian Consumer Law implies a guarantee that cannot be excluded but can be limited, HE Comply's liability for breach of it is limited, at HE Comply's option, to supplying the Services again or paying the cost of having them supplied again.

17.5 The Customer indemnifies HE Comply against all claims, losses, costs, damages, and expenses (including reasonable legal fees) arising from:

(a) the Customer's breach of these Terms;

(b) the Customer's unlawful upload, disclosure, or processing of Personal Data or Confidential Information through the Platform;

(c) any claim by another Customer, a data subject, or a regulatory authority arising from the Customer's use of Co-Management, eSigning, or the CRM API in breach of these Terms, the DPA, or applicable Laws; or

(d) any third-party claim arising from the Customer's use of the Platform in breach of applicable Laws,

except to the extent caused or contributed to by HE Comply's breach of these Terms, negligence, or wilful misconduct.

18. Term, Suspension, and Termination

18.1 These Terms start on the Commencement Date and continue until terminated under this clause 18.

18.2 Either party may terminate these Terms by written notice if the other party:

(a) materially breaches these Terms and fails to remedy the breach (if it can be remedied) within 10 Business Days of written notice of the breach; or

(b) becomes insolvent, enters administration, is wound up, or ceases to carry on business.

18.3 HE Comply may terminate these Terms without cause by giving at least 30 days' written notice, and will refund any prepaid Fees for the unused part of the current Subscription Period.

18.4 HE Comply may suspend the Customer's access to the Platform, or terminate these Terms by written notice, where:

(a) Fees remain unpaid as described in clause 6.4;

(b) HE Comply reasonably believes the Account has been created or used for an improper or fraudulent purpose;

(c) the Customer's use of the Platform poses a material risk to the security, integrity, or availability of the Platform or to other Customers; or

(d) HE Comply is required to do so by Law or a regulatory authority.

18.5 A Customer with Free Access may close its Account at any time.

18.6 If the Customer ends a paid Plan before the end of the current Subscription Period, other than under clause 2.4 or for HE Comply's material breach under clause 18.2, or if HE Comply terminates these Terms under clause 18.2 or clause 18.4(a) to (c), the Fees for the rest of that Subscription Period remain payable.

18.7 On termination of these Terms:

(a) the Customer's right to access and use the Platform ends;

(b) each party will, at the other's request, return or destroy the other's Confidential Information; and

(c) HE Comply will return or delete the Customer's data as set out in clause 11 of the DPA.

18.8 Clauses 1, 6 (for accrued Fees), 7.7, 11, 14.1, 14.4, 15, 16, 17, 18.6 to 18.8, 20, 21, and 22 survive termination of these Terms.

19. Force Majeure

19.1 Neither party is liable for any failure or delay in performing its obligations under these Terms (other than an obligation to pay money) to the extent caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, acts of government, industrial action, failures of the internet or telecommunications, and failures of third-party service providers such as AWS and DocuSign.

19.2 The affected party must notify the other party promptly and take all reasonable steps to mitigate the effect of the event.

19.3 If an event affecting HE Comply continues for more than 60 days, the Customer may terminate these Terms by written notice without penalty and receive a refund of any prepaid Fees for the unused part of the current Subscription Period.

20. Dispute Resolution

20.1 The parties will try to resolve any dispute arising out of or in connection with these Terms through good-faith negotiation between senior representatives within 14 days of written notice of the dispute.

20.2 If the dispute is not resolved within 14 days, or a longer period agreed in writing, either party may refer it to mediation. If the parties cannot agree on a mediator or venue within 7 days, the dispute must be referred to the Resolution Institute for mediation in Sydney, New South Wales, under the Resolution Institute Mediation Rules. The parties will share the mediator's fees and administrative costs equally and bear their own costs.

20.3 If mediation does not resolve the dispute within 30 days of the mediator's appointment, either party may refer it to arbitration under the Resolution Institute Arbitration Rules, with a single arbitrator, seated in Sydney.

20.4 Nothing in this clause 20 prevents a party from seeking urgent injunctive or other equitable relief from a court.

21. Governing Law

21.1 These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

21.2 Nothing in these Terms limits the rights of data subjects or the obligations of the parties under the EU GDPR, the UK GDPR, or any other applicable data protection Law.

22. General

22.1 Entire agreement: these Terms, the DPA, and any Order Form are the entire agreement between the parties about the Services and replace all prior representations, agreements, and understandings on the same subject.

22.2 Severability: if any provision of these Terms is invalid or unenforceable in a jurisdiction, it is severed in that jurisdiction to the extent of the invalidity, and the rest of these Terms continue in force.

22.3 Waiver: a party's failure to enforce a right on any occasion is not a waiver of that right.

22.4 Assignment: the Customer may not assign or otherwise deal with its rights or obligations under these Terms without HE Comply's prior written consent. HE Comply may assign these Terms to a related body corporate or to a successor in connection with a merger, acquisition, or sale of business, on reasonable notice to the Customer.

22.5 Notices: notices under these Terms must be in writing. Notices to HE Comply must be sent to legal@hecomply.com. Notices to the Customer will be sent to the email address registered to its Account. An emailed notice is taken to be received on the first Business Day after it is sent, unless the sender receives a delivery failure notification.

22.6 Relationship: the parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship.

22.7 Changes to features: HE Comply may introduce, modify, or remove Platform features, and will give reasonable notice of material changes to existing features. HE Comply is not in breach of these Terms by doing so, provided the change does not materially reduce the core functionality of the Customer's paid Plan during the current Subscription Period.

22.8 Electronic acceptance: the Customer accepts these Terms electronically by registering an Account, accepting an invitation, or using the Platform.
